Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Gritbid LLC, a Florida limited liability company (formation effective 2026-05-17) ("Gritbid", "we", "us"). By creating an account or using the Gritbid service, you agree to these Terms and to our Privacy Policy.

If you don't agree, don't use the service.

2. What Gritbid does

Gritbid is software for spray foam contractors. It helps you build customer records, track jobs, generate quotes and invoices with branded PDFs, and (optionally) sync with QuickBooks Online. We are not your accountant, your insurer, your lawyer, or your contractor — we're a tool you use.

Gritbid is a small operation built solo. While you have beta access, please:

You're seeing what amounts to years of practitioner work captured in software. We're a solo founder building this in plain sight; please respect what we're showing you. If you have concerns or questions about what's reasonable, ask — we're reachable.

Material breach of this clause is grounds for us to terminate your beta access. We'd rather have a conversation; this is the backstop.

7. Your content and data

You own your data. Customer records, jobs, quotes, line items, brand settings, uploaded files — all yours. By using the service, you grant Gritbid a limited license to host, process, transmit, and display this data only as needed to operate the service for you.

We never sell your data and we don't use it to train AI models or build competing products.

8. Our intellectual property

Gritbid (the brand, the software, the methodology behind the estimating engine, our depth-stack design — per-brand SKU yields, per-rig calibration logic, cold-state SKU swap rules, drum-temp gates) is our property. Using the service does not grant you any ownership in any of it. Don't copy, reverse-engineer, or build a competing product from what you see inside Gritbid.

9. Third-party services

If you connect QuickBooks Online, your use of QBO is governed by Intuit's terms. If you use payment processing, your payment relationship is governed by Stripe's terms. Gritbid is not Intuit and not Stripe; we don't control their services and we're not responsible for their downtime or behavior.

10. Disclaimers

The service is provided "as is" and "as available." Gritbid is a tool that helps you build estimates and quotes faster. It does not guarantee that any specific quote will win a job, that your estimates will be profitable, or that yield calculations will perfectly match real-world spray conditions. Use Gritbid as an aid; final pricing, scoping, and contractor judgment are yours.

We disclaim, to the maximum extent permitted by law, all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, Gritbid's total liability to you for any claim arising out of or relating to the service or these Terms is limited to the greater of (a) the amount you paid Gritbid in the 12 months before the claim or (b) $100.

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, or business interruption — even if we knew such damages were possible.

Some jurisdictions don't allow the exclusion of certain damages; in those jurisdictions, our liability is limited to the smallest amount permitted.

12. Indemnification

You agree to indemnify and hold harmless Gritbid LLC, its members, and contractors from any claim, loss, or expense (including reasonable attorney fees) arising from (a) your misuse of the service, (b) your violation of these Terms, (c) your violation of any law, or (d) your infringement of any third party's rights — including the rights of your own customers whose data you put into Gritbid.

13. Termination

You can stop using Gritbid at any time by canceling your subscription and emailing us to delete your account.

We may suspend or terminate your account if you breach these Terms (especially the acceptable-use, beta-courtesy, or IP sections). For non-payment, we'll give you notice and a chance to fix the issue before suspending access. Termination doesn't erase fees you already owe; refund eligibility is governed by Section 4.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

Informal resolution first. If you have a dispute with us, please email support@gritbid.io first. Most things can be resolved with a conversation.

Arbitration. Any dispute that can't be resolved informally within 60 days will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will take place in Collier County, Florida (or remote, by agreement). The arbitrator's decision is final.

Small-claims carve-out. Either party may bring a claim in small claims court if it qualifies, instead of arbitrating.

No class actions. Disputes will be resolved on an individual basis; no class actions, class arbitrations, or representative proceedings.

16. Changes to these Terms

If we make a material change to these Terms, we'll notify you by email or an in-app notice at least 14 days before the change takes effect. Continuing to use Gritbid after the effective date means you accept the change. If you don't accept, you can cancel before the effective date.
